At “SEC Speaks,” no real
At “SEC Speaks,” no real bombshells were dropped. However, the SEC staff did note that there is some possibility that the upcoming final rules on broker uninstructed votes could still be applied to this proxy season. But the staff did not indicate when the final rules would be adopted – so the likelihood of this appears relatively limited to us. The Sunday edition of the NY Times included an article on a recent Indiana University study on the impact of CEO Certifications on corporate earnings – we have posted a copy of that survey at http://www.thecorporatecounsel.net/member/alerts/03_03_03_CEO.pdf.
