About Jeff Werbitt

Jeff Werbitt began his career in the SEC's Division of Corporation Finance. Jeff spent seven years serving in Corp Fin's Office of Emerging Growth Companies, Office of Computers and Online Services, Office of Mergers & Acquisition and Office of Chief Counsel (as a member of the Shareholder Proposal Task Force). As a member of the SEC Staff, Jeff Screened, reviewed and commented on '33 Act and '34 Act registration statements, '34 Act reports, proxy materials, tender offer documents and going-private transactions. Jeff also advised on matters related to beneficial ownership, reviewed confidential treatment requests and responded to letters requesting no-action relief.

After leaving the SEC, Jeff spent over seven years at Akin Gump Strauss Hauer & Feld in the firm's Corporate Practice group, where he last served as a Senior Counsel. Jeff served as outside counsel for various public company clients, assisting with '33 Act and '34 Act compliance. Additionally, Jeff advised on public & private mergers, business combinations, acquisitions, tender offers, going-private transactions and prepared SEC Staff no-action requests. Jeff counseled senior management and boards of directors regarding corporate governance matters, including compliance with Sarbanes-Oxley, Dodd-Frank and stock exchange rules and listing requirements.

Jeff has a B.B.A. from The George Washington University, a J.D. from the Villanova University School of Law and a LL.M. from the Georgetown University Law Center.
