One of the more tricker areas is how to handle updating - or not updating - a filed deal when new financial results are otherwise reported. Known as "flash numbers," there are choices to make - and sometimes, thorny issues pop up due to the complexity of the fact pattern.

Join our experts:

  • LizAnn Eisen, Partner, Cravath, Swaine & Moore LLP
  • Joe Kaufman, Partner, Simpson, Thacher & Bartlett LLP
  • Joel Trotter, Partner, Latham & Watkins LLP

Among other topics, this program will cover:

  • What is market practice in updating SEC filings
  • What type of SEC Staff comments are issued as updated financial results are reported
  • How to handle Reg FD issues when talking about flash numbers
  • How to handle disclosing recent results in pending deals
