We have had a groundswell of interest for the "Tackling Your 2008 Compensation Disclosures: The 2nd Annual Proxy Disclosure Conference." Below are some frequently asked questions:

Problems with the Online CLE Tracking Tool – If you have registered for video webcast attendance to any of our three Conferences this week, please be aware that we are experiencing some difficulties with our new online tracking tool. Rest assured that you can still earn CLE credit if your state bar has accredited our program (most states have).

If you are experiencing problems, simply send us (1) the name(s) of any lawyers who watch the Conference, (2) list which Conferences were watched, (3) the state bars for which CLE is sought, and (4) the bar numbers for those states. We will be sending out CLE certifications in about a month or so. We apologize for any inconvenience.
  1. Can I receive the member discount on conference rates if someone else at my company/firm is a member of TheCorporateCounsel.net or CompensationStandards.com?
  2. No. You can only receive the member discount if you are a member. However, you might be at a company/firm that has an Unlimited or Firmwide license that enables you to get the special rate. 

    In other words, if you work in an office that is covered by either an Unlimited or Firmwide license to CompensationStandards.com – you are eligible for the member discount. However, if someone in your office has a single membership and you don't – you need to become a member yourself to receive the member discount.

  3. When will you know what day the Conference will be held and who will be speaking at the Conference?
  4. The Conference will be held on October 9th, in San Francisco and by Live Video Webcast (and archived if you have a conflict on the 9th).

    Here is the full agenda, including a list of speakers. Those that listen to our webcasts know the caliber of our content and that we carefully select our speakers so that practical guidance is the order of the day. This Conference will be practical and will be critical for every person involved with drafting proxy disclosures to attend.
     

  5. How much does the Conference Cost?

    Here are our Conference rates. Note that we have priced this Conference to encourage the largest possible attendance and members of TheCorporateCounsel.net and CompensationStandards.com can attend at less than half the regular rate! It's not too late to become a member of TheCorporateCounsel.net or CompensationStandards.com to qualify for the member rate – and gain access to all the valuable information on these sites.

  6. Why does my company/firm need a Firmwide users license?
  7. With the stakes so high now for those involved with drafting proxy disclosures, many companies and law firms are taking advantage of the Firmwide Membership Center-so that all your outside directors and staff can access the many resources on TheCorporateCounsel.net and CompensationStandards.com. (Even if you have an existing membership to TheCorporateCounsel.net or CompensationStandards.com, you can upgrade to a Firmwide license and enable all your outside directors and staff to access this crucial program; you will receive a credit for any money you have already paid).  
     

  8. If I plan to watch the webcast by video webcast, what type of equipment and connection will I need?
  9. Here's what you'll need to watch the video (or listen to audio only):

    • To watch by video webcast, you will need at least a 56 kbps connection to the Internet; however, 100 kbps is preferable. For audio only, you will need at least a 28.8 kbps connection to the Internet.
       
    • You will need one of the following two "players" to access the video webcast: click here to check whether you already have the Windows Media Player or RealPlayer, which also allows you to determine whether you have the proper connectivity or any potential firewall issues.
       
    • If you don't have one of the players, you need the free Windows Media Player (download here) or the free RealPlayer (download here). Please note that after downloading the software, you must install it. Simply downloading the software will not allow access to the archive. Downloading and/or installing the software may require permission from your network administrator.
       
    • If you are still unable to access the archive, contact your IT department.
       
  10. For how long will I have access to the video/audio archives of the Conference?
  11. If you register for the Conference, you will have access to the video/audio archives of the Conference until September 30, 2008.
     

  12. What if I can't watch the Conference because I am too busy that day?
  13. We will be archiving every single minute of the Conference – so you can go back and watch/listen to the Conference at any time until September 30, 2008.
     

  14. Can I earn continuing education credit for attending the Conference?
  15. It depends on whether you attend in San Francisco or via the nationwide webcast. Lawyers can earn CLE for most states if they attend live – and even earn credit in certain states if they attend live by video webcast. Here is a list of the states in which this program is accredited.

    Unfortunately, no CPE credits are available for attending the Conference. However, directors can earn continuing education credit as this program is accredited by ISS. To obtain credit, you will just need to let ISS know which directors attended the Conference.
     

  16. Can I pay for the Conference even though I am not a member of TheCorporateCounsel.net or CompensationStandards.com?
  17. Sure. But note that it costs less to pay for both the Conference and a membership to one of the sites than to pay the non-member conference rates. We believe that nearly all members of TheCorporateCounsel.net and CompensationStandards.com will decide to attend the Conference.

    You should note that this Conference is priced so that it's cheaper than any other comparable conference rate we can find because we value your membership!
     

  18. Do I have to be a member of both TheCorporateCounsel.net and CompensationStandards.com to get the member rate?
  19. No. You only have to be a member of just TheCorporateCounsel.net or CompensationStandards.com to take advantage of the member rate of $1095 to attend live in San Fran.

    In addition, you only have to be a member of either TheCorporateCounsel.net or CompensationStandards.com to get the member rate if you plan to attend by video webcast only. You don't have to be a member of both.
     

  20. Can NASPP members take advantage of the special member rate to this Conference?
  21. Yes, the NASPP has made a special arrangement so that NASPP members can obtain a single license to this Conference using the member rates available to TheCorporateCounsel.net or CompensationStandards.com members. For example, NASPP members can attend live in San Francisco for the member rate of $1295.
     

  22. What is the difference between this Conference and the "4th Annual Executive Compensation Conference" that will be held on October 11th?
  23. This full-day Conference focuses solely on how to implement the SEC's new executive compensation disclosure rules and is a must for anyone involved with drafting or reviewing proxy disclosures.

    In comparison, the "4th Annual Executive Compensation Conference" is an intensive one-day conference (although it has extra content making it well over 10 hours in length) that focuses on how to implement responsible executive compensation practices. Although there is some guidance that will be imparted during the "4th Annual Executive Compensation Conference" on how to draft and review proxy compensation disclosures, there also will be guidance provided on a wider variety of practices, such as how to implement tally sheets and what compensation committees should be doing now.

    The "4th Annual Executive Compensation Conference" is a must for directors and anyone involved with advising boards as to their compensation practices.
     

  24. If my company/firm signs up to watch the Conference, what type of ID/password will we get?
  25. To make it easy, your organization would use the same ID/password you currently use for those sites – so in a sense, your company/firm would “piggyback” on what ID/password you already have. This alleviates administrative headaches involved with juggling multiple IDs and passwords.
     

  26. Will written transcripts of the panels from the Conference be made available?
  27. No. However, a video archive of each panel will be available - something is not available for most other conferences.
     

  28. Can I ask questions before, during or after the Conference?
  29. Yes, you can post your questions on the Q&A Forums of TheCorporateCounsel.net or CompensationStandards.com at any time. In the alternative, you can e-mail them to info@ccrcorp.com.

    However, due to limited available time, the panelists will not be able to answer questions during the Conference. But they will be helping to answer questions posted in the Q&A Forums.
     

  30. If I attend the Conference in San Francisco, can I still get access to the video archive of the Conference?
  31. Yes, when you attend in San Francisco, you still will have access to the archives of the video webcast until September 30, 2008 at no extra cost - this will help you when you are drafting and reviewing your proxy disclosures.
     

  32. If I already registered for the video webcast of the Conference and now want to attend live in San Francisco, what do I need to do?
  33. Just contact our Headquarters at 925.685.5111 or info@thecorporatecounsel.net and our Staff will apply the money you paid for a single license to the video webcast to the registration rate applicable for San Francisco attendance. Even when you attend in San Francisco, you still will have access to the archives of the video webcast until September 30, 2008, to help you when you are drafting and reviewing your proxy disclosures.

    Note that if your company/firm paid for a firmwide or unlimited license to the video webcast, you are unable to apply the money paid for those licenses for attendance in San Francisco. Only money paid for a single license in your name can be used to upgrade to a San Francisco registration.
     

  34. If my company/firm paid for a firmwide (or unlimited) license to the video webcast, am I able to apply the money already paid for that license so I can attend in San Francisco?
  35. No. Only money paid for a single license in your name can be used to upgrade to a San Francisco registration. The rationale is that others in your company/firm will still benefit from being able to attend via video webcast, which was priced at very reasonable rates - so a new registration for attending in San Francisco will need to be made in your name.
     

  36. What is your cancellation policy?
  37. Full refunds are available if you notify us before August 1st. A 50% refund is available if you notify us before September 1st. After September 1st, there will be no refunds permitted.
